Compliance and corporate governance
Compliance and transparency at POT GmbH & Co. KG
How a German GmbH & Co. KG meets its register and transparency duties — written for partners, clients, and reviewers who need the formal position before they sign anything.
The register comes first
What compliance means for a German GmbH & Co. KG
For a German partnership, compliance starts with the register. The company must keep its commercial register entry accurate, file required documents, and follow transparency register rules on beneficial ownership. Beyond that, ordinary commercial law, tax law, and any sector-specific rules apply depending on the activity.
POT GmbH & Co. KG treats the register record as the foundation. If it is not accurate, nothing built on top of it is reliable — not a contract, not a due-diligence file, not a bank relationship. That is why register upkeep is a standing task here rather than a one-off filing.
Where the obligations come from
- Commercial register upkeep Amtsgericht Bielefeld · HRA 17064
- Beneficial-ownership reporting Transparency register
- Commercial and tax law Applies to all activity
- Sector-specific rules Depend on the work carried out
None of these obligations are unusual for a company of this legal form. What matters for a reviewer is that the company knows which one applies where, and can point to the record instead of describing it from memory.
The commercial register as a compliance baseline
The entry at Amtsgericht Bielefeld under HRA 17064 records the facts counterparties rely on: name, legal form, seat, address, general partner, and representation rules. A change to any of these has to be filed, and the filing is then published.
That publication trail is what lets a reviewer reconstruct the company's history without asking us to narrate it. We keep the entry current, and we would rather you checked it than took our word for it — the register is the authoritative source, not this page.
Beneficial ownership
Transparency register obligations
Germany's transparency register requires companies to report their beneficial owners — the natural persons who ultimately own or control the entity. For a GmbH & Co. KG this can mean looking through the general partner and through the partner structure to reach the people behind it.
During due diligence the register is normally consulted alongside the commercial register. If your process requires beneficial-ownership validation, the transparency register is the source to use — not a summary, and not an email from us.
Shows who the entity is and who may sign for it. Maintained at the court, published on filing.
Shows who ultimately owns or controls it. The authoritative source for beneficial ownership.
Where historical extracts and original filings can be pulled independently of us.
Who controls, and who represents
These are two different questions, and reviews go wrong when they are treated as one.
Representation is about who can sign for the company. It is recorded in the commercial register and flows from the general partner, POT Verwaltungs-GmbH. Control is about ownership and influence; that is addressed through the transparency register. A company can be represented by someone who is not an owner, and owned by someone who never signs. A thorough review looks at both.
If a counterparty asks you to confirm one of these, confirm which one — the register will not answer the other.
Two questions, two sources
- Representation
- Check the commercial register for the representation rules and the general partner's signing authority.
- Control
- Check the transparency register for the beneficial owners behind the entity and its general partner.
What we can put in writing
Documentation partners can request
We can provide a current register extract, confirmation of the representation rules, and the company's registered address and register number in writing. For deeper checks, you can pull historical extracts and original filings from the Unternehmensregister yourself. We do not gate access to public register information, and we would rather answer a compliance question early than have it delay a contract.
Why the managing GmbH matters for governance
Because the general partner is itself a GmbH, governance runs through two entities. POT Verwaltungs-GmbH has its own management and its own register entry. Decisions that bind the partnership are made at that level, within the framework of the partnership agreement.
For a reviewer, this means the governance picture includes the GmbH's management and the KG's representation rules together — not one or the other. Reading only the partnership's entry leaves the management layer out; reading only the GmbH leaves out the entity you would actually contract with.
Handling data and enquiries responsibly
What we collect, and what we do with it
When you contact us, we collect only what we need to respond: your name, contact details, and the content of your message. We do not sell contact data or pass it to third parties for marketing.
The privacy policy sets out the details, including your rights and how to exercise them. If you have a data question, use the contact page and we will route it to the right person rather than guess at the answer.
Common compliance questions from partners
Partners most often ask three things: how to confirm the legal entity, who is authorised to sign, and where to check ownership. The answers are below, and all three resolve to a public source.
More questions, including how we handle enquiries and how to reach the right person, are collected on the FAQ page.
Visit the FAQHow do we confirm the legal entity?
Use the commercial register entry at Amtsgericht Bielefeld under HRA 17064. It records the name, legal form, seat, address, and general partner. The register-details page collects the same facts in one place, but the register itself is what a reviewer should cite.
Who is authorised to sign?
Representation rules are recorded in the commercial register and flow from the general partner, POT Verwaltungs-GmbH. We can confirm those rules in writing on request, but the register entry is the version that counts if the two ever differ.
Where do we check ownership?
The transparency register, which reports the natural persons who ultimately own or control the entity. For a GmbH & Co. KG that can involve looking through the general partner and the partner structure, so allow for that when you plan a due-diligence step.
Next steps
Bring the compliance question early
Register checks, representation confirmations, and ownership questions are easier to settle before a contract than after one. Write to us with what your process needs and we will tell you plainly which parts come from us and which parts you pull from the registers yourself.
